Did You Know That There’s a New Rulebook for Incorporated Societies?

The new Incorporated Societies Act 2022 is here to modernise how incorporated clubs and societies are run. The new Act impacts the 24,000 incorporated societies of all shapes and sizes throughout New Zealand.

Every society has until April 2026 to re-register under the new Act. This includes adopting a new set of rules and getting their house in order. Otherwise, the society will cease to exist!

Not sure if your group is an incorporated society? You can search the official Incorporated Societies register.

Change can be daunting, especially for busy volunteers. This change however brings a real opportunity for clarity and member engagement. Action is required though. We are here to help.

Why It Matters

Updating your society’s rules isn’t just about ticking a box. It’s an opportunity to review your society and make sure it is fit for the future. It’s about supporting your committee with clear and modern processes, and safeguarding the legacy of all your members.

To register under the new Act, your society will need to —

  • adopt a new set of rules.
  • have a committee of at least three people responsible for looking after the society.
  • have at least ten members.
  • appoint a contact person for the society.

The Clock is Ticking

Your society has until April 2026 to re-register. But waiting until the last minute is a risky game. Updating your rules can be a complex task. Make sure you allow plenty of time to jump through all the hoops. Membership approval is most likely required, at your AGM or a special meeting.

Steps You Can Take Now

  • Get Informed: There are some great free resources and guides available, including:

  • Consider Your Structure: Now is a good time to discuss whether an incorporated society is still the best structure for your group. Maybe it’s time to wind up? Or is a charitable trust a better fit?
  • Make A Plan: Prepare a roadmap to re-register. Check your current rules for the timeframes and the actions needed to change them.
  • Review Your Rules: Consider how your current rules measure up to the new requirements and where the gaps are. You might like to use our handy checklist.
  • Financial Readiness: Start to align your accounting practices with the new requirements and guidance.
